Dispute Resolution Process

Force Majeure
Include a force majeure clause to address unforeseen circumstances that may prevent you from fulfilling your obligations.
If either party is prevented from performing its obligations under this Agreement due to a Force Majeure Event, that party shall be excused from such performance to the extent prevented. A Force Majeure Event shall be deemed to occur if it is an event beyond the reasonable control of the affected party, including but not limited to:
- Natural disasters: Earthquakes, floods, hurricanes, tsunamis, etc.
- Acts of war or terrorism: War, civil unrest, acts of terrorism, etc.
- Government actions: Strikes, embargoes, regulations, etc.
- Infrastructure failures: Power Cuts, Broadband outage, etc.
- Technical failures: Hosting goes down, errors, bugs, etc.
- Pandemics and epidemics: Outbreaks of infectious diseases.
- Acts of God: Events that are not caused by human action or negligence.
If a Force Majeure Event prevents a party from performing its obligations for a period of 5 days or more, either party may terminate this Agreement by giving written notice to the other party.
If a Force Majeure Event temporarily prevents a party from performing its obligations, that party shall use reasonable efforts to mitigate the effects of the event and resume performance as soon as practicable.
Indemnification
You agree to indemnify and hold Conversing Care harmless from any claims, losses, damages, or expenses arising out of or in connection with your use of our services or your violation of these terms.
Termination
We may terminate this agreement at any time, with or without cause, by providing you with 28 days’ written notice. Upon termination, your right to use our Services will immediately cease.
In addition to the foregoing, we may terminate this Agreement immediately if:
- You breach any material term of this Agreement and fail to cure such breach within 14 days of receiving written notice of such breach.
- You become insolvent, bankrupt, or are subject to any similar insolvency proceedings.
Upon termination of this Agreement for any reason, all outstanding obligations of the parties shall be immediately due and payable.
Governing Law
These terms are governed by the laws of England and Wales.
Changes to Terms
We may update these terms from time to time. Any changes will be effective upon posting on our website.
